1. Agreement to These Terms
These Terms of Service (“Terms”) constitute an agreement between you and Probasal Technologies (“Probasal Technologies,” “we,” “us,” or “our”), the operator of EstateClues.
“User,” “you,” or “your” refers to an individual accessing the platform or an authorized representative of a brokerage, agency, business, or other organization.
EstateClues™ is a proprietary software product and trademark of Probasal Technologies.
Probasal Technologies also develops and operates RealScan (realscan.in), a separate property intelligence platform governed by its own applicable terms, privacy policy, and service conditions.
These Terms apply to your access to and use of:
- The EstateClues website at estateclues.com.
- The EstateClues application at app.estateclues.com.
- Related features, subscriptions, messaging credits, and services provided through EstateClues.
By creating an account, starting a trial, purchasing a subscription, or using the platform, you agree to these Terms and the applicable Privacy Policy, Cancellation & Refund Policy, and other policies incorporated into the service.
If you do not agree to these Terms, you must not use the platform.
If you accept these Terms on behalf of an organization, you represent that you are authorized to bind that organization to this agreement.
2. Eligibility and Business Use
EstateClues is intended primarily for real estate brokers, agents, property consultants, and other eligible real estate professionals.
By using the platform, you represent and agree that:
- You are at least 18 years old and legally competent to enter into a binding agreement under applicable law.
- The registration and business information you provide is accurate, current, and complete.
- You will update your information when material changes occur.
- You will comply with applicable laws, regulations, professional obligations, and industry requirements.
- Where applicable, you hold the registrations, approvals, permissions, and authorizations required to conduct your real estate activities.
- You will not misrepresent your identity, professional status, agency affiliation, or authority to act on behalf of another person or organization.
- Where applicable to your activities, you are responsible for complying with the Real Estate (Regulation and Development) Act, 2016 (RERA), relevant state rules, and other applicable real estate laws.
Probasal Technologies may request information reasonably necessary to verify an account, professional credential, or association membership. We may restrict relevant features while verification is pending or where the information provided cannot be adequately verified.
3. Description of Services
EstateClues is a software-as-a-service (SaaS) platform designed to help real estate professionals organize their business operations.
Depending on your subscription, account permissions, and the features available, the platform may include the following services:
3.1 Client CRM
Tools for maintaining client contacts, buyer requirements, follow-up records, property inventory, notes, and deal pipelines.
3.2 Broker Network
Tools that enable eligible users to participate in association groups, publish property opportunities, review shared requirements, and collaborate with other brokers.
3.3 Property Sharing and Brochures
Tools for preparing and sharing property information, branded brochures, and related business materials with intended recipients.
3.4 Outreach Tools
Tools that may facilitate communication through supported messaging services, including WhatsApp and SMS, subject to applicable platform restrictions, third-party provider requirements, and purchased credits where applicable.
3.5 Changes to Services
We may introduce, modify, maintain, suspend, replace, or discontinue features to improve the service, address security or technical issues, comply with legal obligations, or accommodate operational changes.
Where a material change substantially affects a paid service, we will provide notice where reasonably practicable and as required by applicable law.
We do not guarantee that every feature will remain available indefinitely or that the platform will be compatible with every device, third-party service, or software configuration.
4. Nature of the Service and No Brokerage Relationship
EstateClues is a technology platform. Probasal Technologies does not act as a real estate broker, property agent, developer, lender, escrow provider, legal adviser, or representative of any party to a property transaction merely by providing access to the platform.
Unless expressly agreed in a separate written agreement, Probasal Technologies:
- Does not negotiate, conclude, or participate as a party in property transactions between users.
- Does not guarantee the authenticity, ownership, legal status, availability, pricing, or condition of properties listed by users.
- Does not independently verify every buyer requirement, seller representation, property document, or commercial claim submitted to the platform.
- Does not guarantee that users, listings, or association members will remain eligible, available, or trustworthy at all times.
- Does not guarantee that property enquiries, introductions, matches, collaborations, or shared listings will result in completed transactions.
- Does not set, collect, adjudicate, or guarantee brokerage commission splits between collaborating brokers.
- Does not provide legal, tax, financial, title-verification, or professional due diligence services through ordinary platform functionality.
Users must conduct their own due diligence and independently verify the identity, authority, documents, representations, and transaction terms of other parties before entering into an agreement.
5. Accounts and Account Security
You are responsible for maintaining the confidentiality of your login credentials and for activities carried out through your account, subject to applicable law and circumstances involving unauthorized access beyond your reasonable control.
You agree to:
- Use accurate registration information.
- Protect your password, authentication codes, and account access.
- Avoid sharing credentials with unauthorized persons.
- Notify us promptly if you suspect unauthorized access or account compromise.
- Ensure that employees, representatives, or other individuals using your account have appropriate authorization.
- Remove access for individuals who are no longer authorized to use the account.
You must not impersonate another person, create accounts using false identities, or bypass account verification and access controls.
We may suspend or restrict access where reasonably necessary to protect users, investigate suspected account compromise, prevent fraud, or comply with applicable law.
6. Subscriptions, Pricing, and Payments
6.1 Annual Subscription
The standard Broker Pro Pass is offered at ₹14,999 per year, plus applicable GST and other charges expressly disclosed at checkout.
The subscription provides access to the features included in the selected plan for the applicable subscription period, subject to these Terms.
The price, duration, included features, and other commercial conditions displayed during checkout will govern the relevant purchase.
6.2 Free Trial
Eligible new users may receive a 14-day free trial. Unless expressly stated otherwise:
- No payment is required to activate the trial.
- Payment details or bank mandates are not required at trial registration.
- The trial does not automatically convert into a paid subscription.
- You must separately purchase a subscription to continue using paid features after the trial.
- Trial features, eligibility, and duration may be subject to reasonable restrictions disclosed during registration.
- We may limit repeated or abusive use of free trials where reasonably necessary to prevent misuse.
6.3 Messaging Credits
Messaging credits for WhatsApp, SMS, or other supported communication services are separate from the annual subscription unless expressly included in the purchased plan.
Where offered, a messaging credit pack may have its own price, usage limits, supported channels, and purchase conditions. For example, a credit pack advertised at ₹999 for 2,500 credits is subject to the applicable checkout price, taxes, and credit-consumption rules.
Unused credits will be carried forward without expiry only where that condition is expressly included in the applicable purchase terms. If a different credit arrangement is offered, the terms displayed at purchase will apply.
Credits may be consumed when messages are submitted for processing or delivery, as specified in the relevant feature documentation. Delivery may depend on external messaging providers and their policies.
6.4 Payment Processing
Payments may be processed through Razorpay or another payment provider identified during checkout.
Probasal Technologies is responsible for the merchant-side administration of EstateClues payments, subject to the payment provider's applicable arrangements.
Payment processing, refunds, reversals, and settlement times may depend on the payment provider, bank, payment method, and applicable rules.
You must provide accurate billing information and ensure that you are authorized to use the selected payment method.
6.5 Taxes and Invoices
Prices are subject to applicable taxes, including GST where required.
Tax invoices will be issued in accordance with applicable requirements and the billing information provided by you. You are responsible for providing accurate business and tax details, including GSTIN where applicable.
6.6 Price Changes
We may revise subscription prices, messaging credit prices, or other fees for future purchases or renewal periods.
Where a price change affects an existing subscription or renewal arrangement, we will provide notice and obtain any consent required by applicable law or the relevant payment arrangement.
A price change will not retroactively alter a completed purchase unless permitted by law or expressly agreed by the parties.
7. Cancellation and Refunds
Subscription cancellation and refund eligibility are governed by the separate Cancellation & Refund Policy, available through the EstateClues website.
Unless the applicable policy or law provides otherwise:
- Cancelling a subscription prevents future renewal but does not automatically generate a refund.
- Paid access ordinarily continues until the end of the applicable subscription period.
- Annual subscription refunds are subject to the eligibility conditions and seven-day refund period stated in the Cancellation & Refund Policy.
- Messaging credit refunds are subject to the applicable credit purchase terms and mandatory legal requirements.
- Cancellation does not automatically delete account data.
If these Terms conflict with the Cancellation & Refund Policy regarding a specific refund entitlement, the more specific refund provisions will govern, subject to applicable law.
8. User Content and Ownership of Data
8.1 Your Content
You retain ownership of the information and materials you lawfully submit to EstateClues, including client records, business contacts, property photographs, property descriptions, buyer requirements, and internal business notes, subject to any rights belonging to third parties.
You are responsible for ensuring that you have the necessary rights, permissions, consents, and lawful basis to submit, store, process, and share that information.
8.2 Limited License to Operate the Service
You grant Probasal Technologies a limited, non-exclusive license to host, store, reproduce, transmit, display, and otherwise process your content only as reasonably necessary to:
- Provide and operate the features you use.
- Display information to recipients you designate.
- Maintain, secure, troubleshoot, and support the platform.
- Perform backups and restore service where appropriate.
- Comply with applicable legal obligations.
- Exercise or defend legal claims where necessary.
This license does not transfer ownership of your content to Probasal Technologies.
8.3 Private and Shared Information
Information maintained in your private workspace is intended to remain restricted according to the platform's implemented access controls and permissions.
When you deliberately publish information to an association group or share it with another user, the information may become available to the intended recipients.
You are responsible for reviewing the content, recipients, and permissions before sharing information. We cannot guarantee that a recipient will not copy, download, screenshot, or redistribute information that has been made available to them.
The collection, use, disclosure, and retention of personal information are further described in our Privacy Policy.
8.4 No Unauthorized Commercial Use
Probasal Technologies does not acquire ownership of your client database merely because you upload it to EstateClues.
We do not sell or rent private CRM contact databases as a commercial data product. Information may nevertheless be processed or disclosed in the circumstances described in the Privacy Policy, including to necessary service providers, authorized recipients, and competent authorities where legally required.
9. User Responsibilities and Legal Compliance
You are solely responsible for your conduct and the content you submit, publish, or distribute through EstateClues.
You agree to:
- Provide accurate, lawful, and non-misleading information.
- Ensure that property listings and buyer requirements are genuine to the best of your knowledge.
- Obtain appropriate authorization before advertising a property or acting on another person's behalf.
- Comply with applicable privacy, data protection, consumer protection, advertising, intellectual property, telecommunications, and real estate laws.
- Obtain and maintain any legally required consent before sending marketing or promotional communications.
- Respect opt-out requests and applicable restrictions on unsolicited communication.
- Use WhatsApp, SMS, and other communication channels in accordance with their respective provider policies.
- Respect the confidentiality and legitimate business interests of other users.
- Use property documents, photographs, logos, and other materials only where you have the necessary rights or authorization.
You remain responsible for the commercial decisions you make and the representations you provide to clients, property owners, buyers, sellers, and other brokers.
10. Broker Network and Association Rules
EstateClues may provide tools for association-based collaboration and broker networking.
10.1 Association Administration
Association owners or administrators may be responsible for managing membership applications, reviewing credentials, establishing group-specific rules, moderating shared content, and approving or removing members within their authorized permissions.
Association administrators are independent users of the platform unless a separate written agreement states otherwise.
Probasal Technologies does not automatically endorse the commercial conduct, professional competence, or representations of an association, its administrators, or its members.
10.2 Listings and Collaboration
Users must not knowingly publish false property details, misleading prices, unauthorized listings, fabricated buyer requirements, or other deceptive material.
Any commission split, referral fee, exclusivity arrangement, confidentiality obligation, or co-broking agreement must be established between the relevant parties.
EstateClues does not guarantee payment of a commission or resolve disputes over brokerage arrangements unless a separate written service expressly provides for such assistance.
10.3 Moderation and Removal
We may remove, restrict, or disable access to content where we reasonably believe it violates these Terms, applicable law, third-party rights, or platform safety requirements.
Where appropriate, we may refer a matter to the relevant association administrator or competent authority.
11. Outreach, WhatsApp, and SMS
EstateClues may provide tools to prepare and distribute property brochures, promotional content, or other communications.
You acknowledge that:
- You are responsible for determining whether you have permission to contact the intended recipients.
- You must comply with applicable consent, marketing, telecommunications, and anti-spam requirements.
- External messaging services may impose their own eligibility rules, usage restrictions, templates, limits, and charges.
- Messages may be delayed, rejected, filtered, or undelivered due to circumstances outside our control.
- We do not guarantee message delivery, recipient engagement, property enquiries, or sales conversions.
- We may restrict or suspend messaging functionality where reasonably necessary to address spam, complaints, suspected unlawful communication, provider restrictions, or risks to the platform.
- Where a third-party messaging service is used, your use of that service may also be governed by its own terms and policies.
12. Prohibited Activities
You must not, directly or indirectly:
- Use EstateClues for unlawful, fraudulent, deceptive, or abusive activities.
- Publish knowingly false, misleading, or unauthorized property listings.
- Impersonate another broker, property owner, buyer, seller, association, or organization.
- Send unsolicited or unlawful bulk messages or attempt to circumvent messaging restrictions.
- Scrape, crawl, harvest, or extract platform data without authorization.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the platform, except to the extent such restrictions are prohibited by applicable law.
- Attempt to access another user's account, private workspace, or data without authorization.
- Bypass authentication, access controls, usage limits, or security mechanisms.
- Upload malware or other harmful code or interfere with the platform's availability or security.
- Copy, resell, sublicense, or commercially exploit the platform without our written permission.
- Infringe intellectual property, privacy, confidentiality, or other legal rights.
- Use the platform in a manner that exposes Probasal Technologies or other users to unlawful activity or material security risks.
We may investigate suspected violations and take proportionate action in accordance with these Terms and applicable law.
13. Intellectual Property Rights
EstateClues, including its software, source code, interface, designs, branding, logos, trademarks, documentation, and original platform materials, is owned by Probasal Technologies or its respective licensors.
Except for the limited right to use the platform under these Terms, no ownership interest or intellectual property license is transferred to you.
During an active subscription, we grant you a limited, non-exclusive, non-transferable, and revocable right to access and use the subscribed features for your internal business purposes, subject to these Terms.
You must not copy, reproduce, modify, distribute, sublicense, or commercially exploit our intellectual property except where expressly permitted by us or applicable law.
Any feedback or suggestions you voluntarily provide may be used by Probasal Technologies to improve its products and services without compensation, subject to applicable law and without transferring ownership of your pre-existing intellectual property.
14. Third-Party Services and External Dependencies
EstateClues may depend on third-party providers for hosting, storage, payment processing, email delivery, messaging, authentication, or other functions.
We do not control all aspects of these external services and are not responsible for independent changes to their policies, pricing, availability, or technical operation.
Where a third-party service is essential to a particular feature, interruptions or changes to that service may affect the feature's availability.
We will take reasonable steps to address issues within our control, but we do not guarantee uninterrupted operation of third-party services.
Your use of an external service may be subject to that provider's separate terms and privacy policy.
15. Service Availability and Maintenance
We aim to maintain a reliable and secure platform. However, access may occasionally be interrupted because of:
- Scheduled maintenance, upgrades, or deployments.
- Infrastructure or connectivity failures.
- Third-party service outages.
- Cybersecurity incidents or emergency protective measures.
- Events beyond our reasonable control.
- Legal or regulatory requirements.
We do not guarantee uninterrupted or error-free service.
Where reasonably practicable, we may provide advance notice of scheduled maintenance or material disruptions.
Nothing in this section excludes any mandatory service obligation or remedy that applies under law.
16. Suspension and Termination
16.1 Suspension by Probasal Technologies
We may temporarily suspend, restrict, or disable some or all access to EstateClues where reasonably necessary to:
- Investigate suspected fraud, unauthorized access, or unlawful activity.
- Address a material violation of these Terms.
- Protect users, personal information, platform security, or third-party rights.
- Respond to complaints, abuse reports, or provider restrictions.
- Comply with a legal or regulatory requirement.
- Address overdue payments or other material account issues, where permitted by the applicable agreement and law.
Where appropriate and legally permissible, we will notify you of the reason for suspension and provide an opportunity to resolve the issue.
16.2 Termination
We may terminate an account for a material or repeated breach of these Terms, fraudulent activity, unlawful use, or circumstances in which continued service would create a material legal or security risk.
Where reasonably practicable, we will provide notice and an opportunity to remedy a remediable breach. Immediate action may be necessary in cases involving serious security risks, suspected fraud, or legal obligations.
You may discontinue use of EstateClues or request account closure through the available account settings or by contacting support.
16.3 Consequences of Termination
Following suspension, termination, or subscription expiry:
- Access to some or all platform features may cease.
- Shared content may be removed or become inaccessible in accordance with platform rules.
- Data export may be available for a limited period, subject to the applicable subscription terms and technical availability.
- Outstanding payment obligations incurred before termination remain payable, subject to applicable law.
- Refund eligibility will be determined under the Cancellation & Refund Policy and applicable law.
Termination does not automatically eliminate legal rights or obligations that accrued before termination.
17. Data Retention and Deletion
You are responsible for maintaining appropriate copies of important business records and exporting data you need before subscription expiry or account closure.
We handle account data in accordance with our Privacy Policy and applicable legal requirements.
After a subscription expires or an account is closed, we may restrict access, retain certain information for a limited period, and subsequently delete or anonymize information according to our retention practices.
Certain records may be retained where necessary for tax, accounting, fraud prevention, dispute resolution, security, or legal compliance.
We do not guarantee indefinite storage or recovery of user data after account closure, expiry of an applicable retention period, or deletion carried out in accordance with our policies.
Nothing in this section removes any data access, portability, deletion, or other right that must be provided under applicable law.
18. Disclaimers and Limitation of Warranties
To the maximum extent permitted by applicable law, EstateClues is provided on an “as available” basis, subject to the service commitments expressly agreed with you.
We do not warrant that:
- The platform will be available without interruption or error.
- Every property listing, buyer requirement, profile, or user representation is accurate or authentic.
- Every user or association member has been independently verified in every respect.
- A property match or broker introduction will lead to a successful transaction.
- The platform will generate any particular revenue, commission, lead volume, conversion rate, or business result.
- All information stored on the platform will remain available indefinitely.
You are responsible for evaluating whether EstateClues is suitable for your business needs and for independently verifying information material to your property transactions.
Nothing in these Terms excludes an express written commitment made by Probasal Technologies or a statutory warranty or right that cannot lawfully be excluded.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Probasal Technologies will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from or relating to your use of EstateClues, including loss of profits, lost business opportunities, loss of goodwill, or loss of anticipated commissions.
Subject to applicable law, we will not be responsible for losses arising from:
- Inaccurate or misleading information submitted by users.
- Disputes between brokers, associations, property owners, buyers, or sellers.
- Unauthorized disclosures made by recipients to whom you deliberately shared information, where the loss is not attributable to our breach of an applicable legal obligation.
- Third-party service interruptions beyond our reasonable control.
- Your failure to maintain appropriate backups of important business records.
- Your failure to secure your credentials, where the incident is attributable to that failure.
- Unlawful or unauthorized use of the platform by you or your representatives.
Aggregate liability cap: To the maximum extent permitted by applicable law, the total aggregate liability of Probasal Technologies arising out of or relating to EstateClues or these Terms will not exceed the subscription fees actually paid by you to Probasal Technologies for EstateClues during the twelve (12) months immediately preceding the event giving rise to the claim.
Where you have used the platform without paying subscription fees during that period, the application of this cap will be determined subject to applicable law and the circumstances of the claim.
The limitations in this section apply only to the extent legally enforceable. They do not exclude or restrict liability that cannot lawfully be excluded or restricted, including any applicable liability arising from fraud, wilful misconduct, or other non-excludable conduct.
20. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Probasal Technologies and its personnel, contractors, and service providers against third-party claims, losses, liabilities, and reasonable legal expenses arising from:
- Your unlawful use of EstateClues.
- Content or information you submit, publish, or distribute without the necessary rights or authorization.
- Your violation of another person's intellectual property, privacy, confidentiality, or other legal rights.
- Your breach of applicable law or these Terms.
- Your unauthorized or misleading property representations.
- Your communications, marketing activities, or misuse of messaging services.
- Disputes arising from your property transactions or agreements with other brokers, buyers, sellers, or property owners.
This obligation does not apply to the extent a claim is caused by Probasal Technologies' own conduct for which it is legally responsible. Any indemnification obligation will be subject to applicable law and the facts of the relevant claim.
21. Privacy and Personal Information
Your use of EstateClues is also governed by our Privacy Policy, which describes how personal and business information is collected, used, stored, disclosed, and retained.
You must not upload or share personal information unless you have the necessary rights, permissions, or lawful basis to do so.
We will handle personal information in accordance with our Privacy Policy and applicable data protection laws.
If there is a conflict between these Terms and the Privacy Policy concerning the handling of personal information, the Privacy Policy will govern that subject to the extent of the conflict and applicable law.
22. Changes to These Terms
We may revise these Terms from time to time to reflect changes in our products, business operations, pricing arrangements, security practices, or legal requirements.
The latest version will be published on the EstateClues website with an updated “Last Updated” date.
Where a change materially affects existing users' rights or obligations, we will provide notice or obtain consent where required by applicable law.
Changes will generally apply prospectively, subject to mandatory legal requirements and any specific terms agreed for an existing purchase.
Your continued use of the platform after revised Terms take effect constitutes acceptance only to the extent recognized by applicable law. If you do not agree to a material change, you should discontinue use and contact us regarding any applicable cancellation rights.
23. Governing Law and Dispute Resolution
These Terms are governed by the laws of India.
If a dispute arises, the parties should first attempt to resolve it through good-faith discussions by contacting Probasal Technologies.
If the dispute cannot be resolved informally, it may be referred to the competent courts in Maharashtra, subject to applicable law and the rules governing jurisdiction.
Jurisdiction: The parties intend that the competent courts at Mumbai, Maharashtra, India, will have jurisdiction over disputes arising out of or relating to these Terms, to the extent such jurisdiction is legally available.
Nothing in this section limits any mandatory consumer, statutory, or other legal rights or jurisdictional rules that apply to a particular dispute.
24. General Provisions
24.1 Entire Agreement
These Terms, together with the applicable Privacy Policy, Cancellation & Refund Policy, order details, and any additional written agreement expressly incorporated into the service, form the agreement governing your use of EstateClues.
24.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent legally permissible.
24.3 No Waiver
Failure or delay in enforcing a provision does not constitute a waiver of that provision or any other right.
24.4 Assignment
You may not transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.
Probasal Technologies may transfer or assign its rights and obligations as part of a lawful business restructuring, merger, acquisition, or transfer of relevant assets, subject to applicable law and any required safeguards.
24.5 Force Majeure
To the extent permitted by law, Probasal Technologies will not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, widespread network or infrastructure failures, governmental actions, civil disturbances, or major third-party service disruptions. We will take reasonable steps to mitigate the impact of such events where practicable.
24.6 No Partnership or Agency
Your use of EstateClues does not create a partnership, joint venture, employment relationship, franchise, or agency relationship between you and Probasal Technologies. You remain an independent business operator and are responsible for your own business decisions and obligations.
